1. Concept and Types of Commercial Agency
A commercial agency is a contract whereby a person (the agent) undertakes to promote and distribute the products or services of another person (the principal) in a defined territory in exchange for commission or profit margin. It differs from distribution in that the agent acts on the principal's behalf, while a distributor buys and sells on their own account.
Types of commercial agencies include:
- Exclusive Agency: The agent is the sole representative of the principal in Kuwait
- Non-Exclusive Agency: The principal may appoint multiple agents in the same market
- Distribution Agency: The agent purchases products and resells them under their own name
- Representation Agency: The agent negotiates and concludes contracts on the principal's behalf
- Service Agency: Providing after-sales service and maintenance
2. Law No. 36 of 1964 — Legislative Framework
The law aims to:
- Protect Kuwaiti commercial agents from unfair competition

3. Commercial Agency Registration Requirements
Registration of a commercial agency with the Ministry of Commerce and Industry requires:
• Must be a Kuwaiti national (natural or legal person)
• Companies: must be wholly Kuwaiti-owned
• Must be registered in the Commercial Register
• Must have good commercial reputation
• Must not have been convicted of a crime of moral turpitude
• Authenticated and certified agency contract
• Commercial Register certificate
• Civil ID or incorporation documents
• Letter of appointment from the foreign principal
• Fee payment receipt
The agency contract has no legal effect until registered with the Ministry of Commerce.
4. Commercial Agent Rights
The registered commercial agent enjoys broad legal protection:
- Exclusivity: The exclusive agent's right to be the sole representative in Kuwait
- Parallel Import Prohibition: Ban on importing the same products from sources other than the registered agent
- Termination Compensation: Right to fair compensation upon unjustified agency termination
- Renewal Priority: Agent's priority in renewing the agency contract upon expiry

6. Protection Against Parallel Imports
It is legally prohibited to import products for which a registered commercial agent exists in Kuwait from sources other than the agent:

- The agent's right to request confiscation of parallel-imported goods
- Right to claim damages from unfair competition
- Right to report to Customs to prevent goods entry
Excepted from this prohibition is personal importation in limited quantities for personal use.
7. Agency Termination and Compensation
Commercial agencies may only be terminated in accordance with specific legal requirements:
Legitimate Grounds for Termination:
- Agent's material breach of contractual obligations
- Expiry of the fixed-term contract without desire to renew, with prior notice
- Mutual agreement to terminate
- Bankruptcy judgment or liquidation of the agent's company
Wrongful Termination and Consequences:
- The agent may claim fair compensation including lost profits
- Compensation for investments the agent made in developing the market
- Compensation for loss of customers and market share
- Continued agent rights over products in their inventory
8. Commercial Agency Disputes
